One Carpenter Technology Insider Has Reduced Their Stake

Must read

From what we can see, insiders were net sellers in Carpenter Technology Corporation’s (NYSE:CRS ) during the past 12 months. That is, insiders sold the stock in greater numbers than they purchased it.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Carpenter Technology

Over the last year, we can see that the biggest insider sale was by the Independent Director, Steven Karol, for US$3.1m worth of shares, at about US$101 per share. So it’s clear an insider wanted to take some cash off the table, even below the current price of US$159. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don’t know for sure what they think of the stock price. We note that the biggest single sale was only 6.8% of Steven Karol’s holding. Steven Karol was the only individual insider to sell shares in the last twelve months.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it’s a good sign if insiders own a significant number of shares in the company. It’s great to see that Carpenter Technology insiders own 2.4% of the company, worth about US$189m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

What Might The Insider Transactions At Carpenter Technology Tell Us?

It doesn’t really mean much that no insider has traded Carpenter Technology shares in the last quarter. It’s heartening that insiders own plenty of stock, but we’d like to see more insider buying, since the last year of Carpenter Technology insider transactions don’t fill us with confidence. So while it’s helpful to know what insiders are doing in terms of buying or selling, it’s also helpful to know the risks that a particular company is facing.
